Terms and Conditions

(November 2015)

These Terms and Conditions apply to the supply of all Goods and Services by Chulo Naturals

1 Definitions

1.1 ‘You / Your’ - the business purchasing the Goods and/or Services

1.2 ‘Us / Our / We’ – Chulo Naturals, 12 High Street, Brompton, Gillingham, Kent ME7 5AE; Registered office: 119 Twydall Lane, Twydall, Kent ME8 6JU

1.3 ‘Our Authorised Representatives’ – individuals or teams who are authorised to represent the Chulo Naturals brand

1.4 ‘Goods and services’ – relates to any product or service provided by Us; including, yet not limited to, skin care products, soaps, cosmetics, candles, training courses and consultancy

2 Acceptance of Our Terms and Conditions

2.1 You accept these Terms and Conditions when You:

       2.1.1 Request a quotation or place any order with Us or Our Authorised Representative by any means, including email, by telephone, or in person

       2.1.2 Make payment for any Goods and Services provided by Us

2.2 We reserve the right to refuse to supply Goods and Services to any clients or businesses that We deem are potentially detrimental to Our brand and / or operational processes, without the need to give reason

3 Our Quotes, Prices and Charges

3.1 All quotes and invoices are valid for 30 days from the date of issue – except for invoices using non-GBP currencies which shall remain valid for 7 days

3.1.1 Should You choose to order after this period it is Your responsibility to check with Us that the prices and charges are still correct and valid

3.2 In the event of any dispute over pricing and charges, the figures on Your (valid) invoice will be deemed the agreed amount(s) and will supersede any other pricing or charges found on any of our websites, marketing literature, or associated materials

3.3 Our minimum INITIAL order value for new wholesale clients (Our own brand products or creation of Your white label products) is £375 (GBP)

3.3.1 Additional fees apply for labels and registration of You and Your white label products and these will be quoted during the order and design process

3.4 Our minimum RE-ORDER value is £150 (GBP)

3.4.1 Any additional fees or charges will be notified to You at the time of placing Your Re-order

3.5 Prices and charges for other currencies can be quoted and will be valid for a maximum of 7 days

3.6 We will charge You a fee for storage for Your prepared orders that are unable to be dispatched due to activities out of Our control yet within Your responsibility or reasonable control

       3.6.1 Such activities can include, yet are not limited to: Your provision of suitable labels and Notification that You are unable to receive delivery

       3.6.2 This charge will apply after the expiry of the 7th day on which we would have dispatched Your order

       3.6.3 The charge will be £50 GBP per 7 day period after the initial period in clause 3.6.2

       3.6.4 If after 3 months We are unable to dispatch Your order, We reserve the right to dispose, sell or re-use the Goods and Services of Your order as We deem appropriate, without any further communication, liability or financial compensation to You

       3.6.5 Your order will only be dispatched once full payment of the fees for the delay period in clause 3.6 have been received

3.7 We reserve the right to change Our product range, processes, pricing and charges at any time

3.7.1 We intend to notify existing clients (those who have ordered from Us within the preceding 6 months) 30 days prior to Us making any changes or increases to pricing or charges, unless to delay doing so would contravene any laws or regulations for Us, or You in your geographical area of operation

4 Payment Terms

4.1 As many of our orders are for bespoke products, We operate a policy of requiring FULL PAYMENT of Your invoice, PRIOR to your order being created

4.1.1 The above will apply to Your order being prepared, if Your order is for the purchase of Our own brand products

4.2 Your order is not confirmed until full payment for Your order has been received by Us

4.3 Once Your payment has been received Your order is confirmed, and is NON-REFUNDABLE

4.4 Payment is possible by BACS transfer, or by debit or credit card by calling Our office, using the details on Your invoice

       4.4.1 Please note that fees may apply for card transactions and You will be advised prior to payment being taken

5 Our Responsibilities

5.1 We will supply the Goods and Services as per Your invoice, subject to You abiding by the conditions contained within these Terms and Conditions

5.2 Delivery for stock items of Your invoice is anticipated at 14 – 21 days from receipt of Your full payment for the order

5.3 Please be aware, that by nature of its production, soap takes 4 weeks to cure and this should be added to any lead times

5.4 Whilst We provide a label service, please recognise that we are not a professional printing company, and the labels we provide will be a legal label of a reasonable quality

5.5  Only products that are considered legally and correctly labelled by Us will be dispatched to You, or be available for collection by You

6 Your Responsibilities

6.1 You will abide by the clauses set out in this Terms and Conditions to enable us to provide a professional service

6.2 You will protect and keep all pricing, processes, product information and intellectual property supplied by Us confidential, unless these are required to be made available by law or regulation relating to Your geographical territory

       6.2.1 You will contact Us in advance if You have any uncertainty on clause 6.2

6.3 If You choose to use Your own provider of labels, You MUST send us the final proofs prior to printing so that We can approve any legally required text relating to the Goods

       6.3.1 Proofs should be sent in a suitable review format (JPEG or PDF) to This email address is being protected from spambots. You need JavaScript enabled to view it. quoting Your order/invoice number; please allow up to 2 working days for Us to review and communicate back to You.  We accept no liability for any costs incurred by You in this regard

       6.3.2 If providing Your own labels, We must receive the labels a minimum of 3 working days before the estimated date of dispatch, which You will be advised of when We confirm Your order

6.4 Any order issues or damages must be notified to Us within 24 hours of receipt of Your order, via email to This email address is being protected from spambots. You need JavaScript enabled to view it. quoting your order number and with supporting photograph images where applicable

6.5 By accepting these Terms and Conditions, You agree to not undertake or attempt to undertake any modification to the Goods and / or Services We supply You including, yet not limited to: the repackaging of the Goods, the addition of any substance (including scent), and the storage and treatment of Our own brand products in such a way that is detrimental to the quality of the product and the public perception of the product

6.6 We would appreciate you keeping Us updated of any details that are intrinsic to the maintaining of Our business relationship with You, such as named contact, postal address, email address and telephone number

7 Circumstances Beyond Our Control

7.1 Unfortunately, sometimes the service We for You to experience is affected by circumstances beyond Our control.  Should such a situation occur, We will contact You to discuss a reasonable solution.  However, We wish to clarify that We shall not be in breach of Our contractual obligations nor shall We incur any liability to You if We are unable to comply with the production or execution of Our Goods and Services as the result of any cause beyond Our reasonable control

8 Your Data and Communicating with You

8.1 We will retain Your data and information to assist Us in the effective delivery and execution of Our goods and Services to You in a business-like manner.  Your data may be initially captured in person, by telephone or by electronic means.  We will protect Your data and use it for the purposes of conducting business with You and to communicate updates on Our business terms, and also to notify you of Our offers and new products – You will be able to unsubscribe from these communications at anytime

       8.1.1 We will not pass on Your data to any third party without Your consent

       8.1.2 We will make every reasonable effort to protect Your data and its use, however We will not be liable for any inappropriate or malicious use of Your data by a member of Chulo Naturals, Our Authorised Representatives, or any Third Parties

9 Law and Jurisdiction

9.1 These Terms and Conditions shall be subject to and governed by English law and all disputes arising in respect of Our Goods and Services shall be subject to the exclusive jurisdiction of the English courts
